1. Acceptance of Terms

By accessing or using the FLY RABBIT IT PRIVATE LIMITED marketplace ("Marketplace"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Marketplace.

These Terms constitute a legally binding agreement between you and FLY RABBIT IT PRIVATE LIMITED ("we," "us," or "our") regarding your use of our Marketplace and the services offered through it. You must be at least 18 years old to use our Marketplace.

2. Definitions

Throughout these Terms, the following definitions apply:

• "AI Agent" refers to any artificial intelligence software, model, or application offered for sale on our Marketplace.
• "Buyer" refers to any user who purchases or licenses an AI Agent from our Marketplace.
• "Seller" refers to any user who offers AI Agents for sale or licensing on our Marketplace.
• "License" refers to the terms under which a Buyer may use an AI Agent purchased from our Marketplace.
• "Content" refers to any information, data, text, software, graphics, messages, or other materials that are uploaded, posted, or otherwise transmitted through our Marketplace.

3. Account Registration and Security

To access certain features of our Marketplace, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Immediately notify us of any unauthorized use of your account or any other breach of security.
• Ensure that you log out of your account at the end of each session when accessing our Marketplace from a shared computer.
• Not share your account credentials with any third party.

We reserve the right to disable any user account if we believe you have violated these Terms.

4. Marketplace Services

Our Marketplace provides a platform for Sellers to offer AI Agents for sale and for Buyers to purchase licenses to use these AI Agents. We do not own or create the AI Agents offered by Sellers, nor do we make any warranties about their functionality, reliability, or suitability for any particular purpose.

We reserve the right to:

• Modify, suspend, or discontinue any aspect of our Marketplace at any time.
• Impose limits on certain features or restrict access to parts or all of our Marketplace.
• Remove any AI Agent from our Marketplace at our sole discretion.
• Screen, filter, or monitor Content posted on our Marketplace.

5. Licensing Terms

When you purchase an AI Agent from our Marketplace, you are purchasing a license to use the AI Agent according to the specific terms associated with that license. The license does not transfer ownership of the AI Agent to you.

License Types

Our Marketplace offers several types of licenses, including but not limited to:

• Personal License: Grants the Buyer the right to use the AI Agent for personal, non-commercial purposes only.
• Business License: Grants the Buyer the right to use the AI Agent within a single organization for commercial purposes.
• Enterprise License: Grants the Buyer the right to use the AI Agent across multiple departments or locations within a single organization.
• Subscription License: Grants the Buyer the right to use the AI Agent for the duration of the subscription period.

The specific rights and restrictions associated with each license type are detailed on the product page for each AI Agent. By purchasing a license, you agree to abide by its terms.

License Restrictions

Unless explicitly permitted by the license terms, you may not:

• Modify, adapt, or create derivative works based on the AI Agent.
• Reverse engineer, decompile, or disassemble the AI Agent.
• Remove or alter any proprietary notices or labels on the AI Agent.
• Transfer, sublicense, rent, lease, or lend the AI Agent to any third party.
• Use the AI Agent for any illegal purpose or in violation of any applicable laws or regulations.
• Use the AI Agent to develop competing products or services.

6. Buyer Responsibilities

As a Buyer, you are responsible for:

• Reviewing the product description, license terms, and system requirements before purchasing an AI Agent.
• Ensuring that your systems meet the technical requirements for using the AI Agent.
• Using the AI Agent in accordance with its license terms and these Terms.
• Maintaining the confidentiality of any license keys or activation codes provided to you.
• Any Content you create using the AI Agent.

7. Seller Responsibilities

As a Seller, you are responsible for:

• Ensuring that you have all necessary rights and permissions to offer your AI Agent for sale on our Marketplace.
• Providing accurate and complete information about your AI Agent, including its functionality, limitations, and system requirements.
• Clearly specifying the license terms under which your AI Agent is offered.
• Providing reasonable technical support to Buyers who purchase your AI Agent.
• Complying with all applicable laws and regulations related to the sale of software and digital goods.
• Ensuring that your AI Agent does not infringe on any third-party intellectual property rights.

We reserve the right to remove any AI Agent from our Marketplace if we believe it violates these Terms or any applicable laws or regulations.

8. Payments and Fees

Prices for AI Agents are set by Sellers and are displayed in the currency specified on the product page. All payments are processed through our secure payment system.

For Buyers:

• You agree to pay all fees and charges associated with your purchases at the prices in effect when the charges are incurred.
• You are responsible for any taxes applicable to your purchases.
• Payment must be made at the time of purchase unless otherwise specified.

For Sellers:

• We retain a commission on each sale made through our Marketplace. The current commission rate is 30% of the sale price.
• Payments to Sellers are made according to our payment schedule, typically monthly, provided the Seller's account balance exceeds the minimum payout threshold.
• Sellers are responsible for any taxes applicable to their earnings.

9. Refunds and Cancellations

Our refund policy is detailed in our Return & Refund Policy. In general:

• We offer a 30-day money-back guarantee for most AI Agents if they don't function as described.
• Refunds are processed to the original payment method when possible.
• When a refund is issued, the associated license is revoked, and the Buyer must discontinue use of the AI Agent.
• Subscription cancellations stop future billing cycles but do not result in partial refunds for the current billing period.

10. Intellectual Property Rights

All intellectual property rights in the AI Agents remain with the Seller or their licensors. Nothing in these Terms transfers ownership of any intellectual property rights from the Seller to the Buyer.

The FLY RABBIT IT PRIVATE LIMITED name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FLY RABBIT IT PRIVATE LIMITED or its affiliates. You may not use these marks without our prior written permission.

By submitting Content to our Marketplace, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such Content in connection with providing our Marketplace services.

11. Privacy and Data Protection

Our Privacy Policy governs the collection, use, and disclosure of personal information provided in connection with your use of our Marketplace. By using our Marketplace, you consent to the collection and use of your information as described in our Privacy Policy.

Sellers must comply with all applicable data protection laws and regulations when collecting, processing, or storing any data obtained through the use of their AI Agents.

12. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using our Marketplace for any illegal purpose or in violation of any applicable laws or regulations.
• Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the operation of our Marketplace or the servers or networks used to make our Marketplace available.
• Attempting to gain unauthorized access to any portion of our Marketplace or any other accounts, computer systems, or networks connected to our Marketplace.
• Using any robot, spider, or other automated device to access our Marketplace or to extract data from it.
• Uploading or transmitting viruses, malware, or other malicious code.
• Engaging in any activity that could disable, overburden, damage, or impair our Marketplace.

13. Termination

We may terminate or suspend your account and access to our Marketplace immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use our Marketplace will immediately cease.
• If you are a Buyer, you may continue to use any AI Agents for which you have purchased a valid license, subject to the terms of that license.
• If you are a Seller, your AI Agents will be removed from our Marketplace, but we will fulfill any existing orders.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Disclaimer of Warranties

OUR MARKETPLACE AND ALL AI AGENTS AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR MARKETPLACE OR ANY AI AGENTS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR MARKETPLACE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15. Limitation of Liability

IN NO EVENT SHALL FLY RABBIT IT PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR MARKETPLACE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR MARKETPLACE, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR MARKETPLACE BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA OUR MARKETPLACE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

16. Indemnification

You agree to defend, indemnify, and hold harmless FLY RABBIT IT PRIVATE LIMITED, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to our Marketplace; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of our Marketplace.

17. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on our Marketplace and updating the "Last Updated" date at the top of these Terms.

Your continued use of our Marketplace after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using our Marketplace.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of our Marketplace shall be subject to the exclusive jurisdiction of the courts located within Delhi, India.
